OBJECTIVES OF THE PROGRAMME :
To provide the legal input, during the planning and implementation of the Organization's activities, so as to facilitate effective co-operation between those taking part - Member States, international bodies, international officials, collaborating institutions and individuals and commercial entities; to ensure that the activities are carried out on a firm legal basis; to protect the Organization's legal interests and defend it from legal action.
Description of duties:
Purpose of the position:
Provide legal advice and services, in particular in respect of:
- commercial and contractual matters;
- general protection of the Organization's interests; and
- any other functions as required, including on international, institutional or administrative legal matters.
Work environment/role within team: The incumbent will be a member of the Office of the Legal Counsel, assigned to the Commercial and Contractual Matters (CCM) team. While the post is within the CCM team, the incumbent may be required to work on legal issues arising in any area of the work of the Office of the Legal Counsel.
The work environment requires a high degree of collaboration, both within the team and with other offices of the Legal Counsel (LEG) colleagues, as well as with colleagues in other departments. Although each of the professional staff members in LEG/CCM have areas of work in which he/she specializes, broadly speaking the incumbent will be required to carry out duties in all areas of work covered by LEG/CCM.
Available guidelines: There are very few guidelines directly relating to the work of the post. In so far as they may be relevant, the incumbent will however need to refer to the WHO Constitution, World Health Assembly (WHA) and Executive Board (EB) resolutions and decisions, treaties, customary international law and general legal principles, WHO Regulations and Rules, WHO Manual, established policies and practice of the Organization (including the WHO Framework of Engagement with Non State Actors).
The incumbent will normally need to interpret guidelines in particular situations. He/she may need to develop new guidelines that are consistent with the approach decided by the Coordinator, CCM and/or the Legal Counsel, and which may involve a new approach or solution for WHO, in the light of its practice and the need to protect the Organization.
Nature/Purpose of contact within/outside WHO:
The incumbent will have contact with senior officials within WHO HQ, and WHO Regional and country offices.
Purpose: to provide legal advice and services on commercial and/or contractual matters and on other issues within the incumbent's post description.
Contacts outside WHO will include:
(i) representatives (including lawyers) of companies, institutions, non-governmental organizations and foundations.
Purpose: to discuss the legal aspects of collaborative projects and negotiate contracts.
(ii) government representatives; senior civil servants; and senior officials of other common system organizations.
Purpose: to explain and discuss legal matters, as WHO's representative.
(iii) staff of academic and other public institutions.
Purpose: to provide information on the legal aspects of WHO activities, and when applicable, discuss the legal aspects of
collaborative projects and negotiate contracts.
Summary of assigned duties:
1. Commercial legal issues, in particular contracts and intellectual property, and international legal issues relating to the Organization's programmatic and operational activities. This includes advice to technical units, on legally sound courses of action that comply with WHO policy, and where applicable, private and international law, and that will avoid costly contractual errors, including with regard to situations where there may be no precedents and where new policies may need to be developed.
This work involves in particular working on legal and policy issues relating to relations with the private sector, including:
(i) issues relating to patents, copyright, confidentiality of information, licensing, publication agreements and software development contracts,
(ii) collaboration and donation agreements with commercial enterprises and fundraising arrangements with the private sector, and
(iii) procurement of supplies, Technical Service Agreements, Agreements for Performance of Work and similar contractual relationships.
In addition, the work involves funding and co-operation agreements with governments, funding agencies and Non-Governmental Organizations (NGOs), including related project documents.
2. Negotiation, reviewing and drafting of a wide range of contracts, including licensing, publication, donation, fundraising, and product research and development contracts, as well as dispute settlements agreements.
This work involves working in close liaison with technical programme staff, in order to understand the technical objectives and needs of the programme, determining the legal needs and objectives of the Organization as a whole, researching and analyzing the applicable national and international law, developing a negotiation strategy, and frequent face-to-face and telephone negotiations with technical units and lawyers of commercial enterprises and other organizations interested in collaborating with the Organization.
3. General protection of the Organization's legal interests in specific areas such as use of the WHO name and emblem, co-sponsorship of meetings for which commercial involvement is an issue, conditioning of acceptance of donations, and general legal questions confronting international organizations.
4. Other functions of a legal nature may be required by the exigencies of the work of the office.
Postgraduate university degree (or equivalent academic qualification) in law, with a specialization in commercial law.
Legal studies of more than one legal system.
Formal studies in international law.

Seven years of experience practising commercial law, within the legal department of an international organization or a company, or within a law firm, of which at least 4 years of experience as a lawyer in the private sector, practising commercial law in a variety of legal areas, including in particular contract negotiation and drafting.
Experience practising commercial law in an international context.
Experience as a lawyer in different jurisdictions.
Solid experience in negotiating and drafting agreements in a wide range of areas.
Expert knowledge of English and French.

WHOs salaries are calculated in US dollars. They consist of a base salary and a post adjustment, which reflects the cost of living in a particular duty station and exchange rates. Other benefits include: 30 days annual leave, family allowance, home travel, education grant for dependent children, pension plan and medical insurance.
